Please read these Terms of Service (“Terms”) carefully before using the indieai.directory website (the “Service”) operated by IndieAI Directory (“we”, “us”, or “our”).

By accessing or using the Service, creating an account, submitting a tool, or completing a purchase, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you may not access the Service.

⚠️ Important: These Terms remain in effect while you use the Service. Continued use after we publish updates means you accept the revised Terms.

Description of Service

IndieAI Directory is an online directory that curates and showcases AI tools and software. We provide information, descriptions, and links to third-party AI products and services.

Paid offerings on the Service are digital, intangible products. After payment is confirmed, access is granted immediately (for example, a listing going live or a promotion being scheduled). Because of this immediate digital delivery, refunds are limited as described in Billing, Payments, and Refunds.

Use of the Service

Permitted Use

You may use our Service to:

  • Browse and discover AI tools
  • Access information about AI products and services
  • Submit AI tools for consideration in our directory
  • Purchase listing packages or promotion placements

Prohibited Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Scrape, copy, or reproduce our content without permission
  • Submit false, misleading, infringing, or spam listings
  • Misrepresent ownership of a tool or the right to list it
  • Use automated systems to access the Service in a manner that exceeds reasonable use
  • Circumvent payment, review, or listing controls

Accounts

To submit tools or complete a paid purchase, you must create an account with accurate information (currently via Google sign-in). You are responsible for keeping your login credentials confidential and for all activity under your account.

If you discover unauthorized use, contact us immediately at [email protected]. Do not share your login with third parties. Keep the email on your account current so we can send billing and listing notices.

If you register on behalf of a company or organization, you represent that you are authorized to bind that entity.

Billing, Payments, and Refunds

This section covers one-time listing fees and optional recurring promotion plans. It is adapted from the Waffo Pancake billing, refund, and termination templates for digital products.

Payments are processed by Waffo Pancake as merchant of record. The charge on your statement may appear under Waffo / Pancake or a related billing descriptor. Prices shown at checkout may exclude applicable taxes (including VAT, GST, or sales tax). Where required by law, tax is calculated and collected at checkout.

One-Time Payments

One-time products include directory submission packages: Fast Track, Premium, and Unlimited.

Each of these purchases is a standalone, one-time transaction. There is no automatic renewal and no further charge unless you start a new purchase. By completing checkout, you authorize IndieAI Directory (through Waffo Pancake) to charge the payment method you provide for the amount displayed at checkout.

After payment succeeds, the digital service is delivered immediately: the listing is queued to go live according to the purchased plan. You acknowledge that this is digital content / a digital service that begins upon payment confirmation.

Refund Policy

Because listing purchases are digital services delivered immediately after payment, completed purchases are generally final and non-refundable once delivery has started (the listing is approved/published). Change of mind is not a refund reason.

Eligible refunds (exceptions):

  • Duplicate or erroneous charges: If a billing error causes a duplicate charge, we will refund the duplicate amount in full.
  • Service not delivered due to our fault: If payment succeeds but we fail to provide the purchased listing because of an error on our side, we will refund the affected charge or re-deliver the service.
  • Verified interruption caused by us: If a paid listing is unavailable for more than 72 hours due to our fault, we may issue a pro-rated refund or equivalent extension.
  • Statutory rights: If applicable law gives you a withdrawal or refund right (for example, an EU/UK cooling-off period for digital services that have not begun), those rights are preserved. Once digital delivery has started with your consent, that cooling-off right typically no longer applies.

Not refundable:

  • One-time listing fees after the digital service has been delivered
  • Fees for accounts or listings we suspend or terminate because you breached these Terms

How to Request a Refund or Dispute a Charge

Email [email protected] with:

  • The email on your account
  • Transaction ID, order ID, or payment receipt
  • The tool name and plan purchased
  • The reason for the request

We will acknowledge eligible requests within 2 business days and process approved refunds to the original payment method within 5–10 business days (your bank may take longer to show the credit).

If you believe a charge is wrong, contact us before opening a bank or card dispute. We will respond within 2 business days and resolve confirmed billing errors within 5 business days. Chargebacks filed without contacting us first may delay review of your listing or account.

Enforcement, Suspension, and Termination

These Terms remain effective while you use the Service.

When We May Act

We may, with or without prior notice, take enforcement action if you:

  • Materially breach these Terms
  • Submit false, infringing, spam, or otherwise prohibited content
  • Engage in or we reasonably suspect fraud, chargeback abuse, or payment manipulation
  • Must be restricted because the law, a payment partner, or a rights holder requires it

What We May Do

Depending on the severity and whether the issue can be fixed, we may:

  • Reject, unpublish, or permanently remove a tool listing or promotion
  • Remove badges, featured, banner, or side-rail placements
  • Suspend your account or block further submissions and purchases
  • Terminate your right to use the Service
  • Preserve records needed for security, billing, or legal compliance

We may restore a listing or account if you promptly correct the issue. Repeated or serious violations may result in permanent termination.

Effect of Termination

  • Termination or suspension for your breach, fraud, or illegal activity: access, listings, and promotions may stop immediately. No refund is due for unused time or delivered digital services.
  • Termination by us for reasons other than your breach: we will provide a pro-rated refund for any unused prepaid subscription period. Completed one-time listing fees remain non-refundable if the listing was already delivered, unless required by law.
  • Termination by you: you may stop using the Service and request account deletion by emailing [email protected]. Deletion does not reverse a completed one-time purchase. Subscriptions you cancel continue until the end of the current paid period, without refund for unused days.

Account data is handled as described in our Privacy Policy. We may retain billing and listing records as required for tax, fraud prevention, and legal obligations.

Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and this termination section) survive termination.

Intellectual Property

Our Content

The Service and its original content (excluding content provided by users or third parties), features, and functionality are owned by IndieAI Directory and are protected by international copyright, trademark, and other intellectual property laws.

Third-Party Content

AI tool descriptions, logos, and other materials related to listed tools belong to their respective owners. We display this information for informational purposes only.

User Submissions

By submitting an AI tool for listing, you represent that you have the right to provide such information and grant us permission to display it on our Service. We may edit, unpublish, or refuse listings that violate these Terms.

Our Service contains links to third-party websites and services that are not owned or controlled by IndieAI Directory.

We have no control over, and assume no responsibility for:

  • The content, privacy policies, or practices of third-party sites
  • The accuracy, reliability, or quality of third-party products
  • Any damages or losses caused by your use of third-party services

We strongly advise you to read the terms and privacy policies of any third-party sites you visit.

Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without any warranties of any kind, either express or implied, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy or reliability of information provided

We do not endorse, guarantee, or assume responsibility for any AI tool listed in our directory.

Limitation of Liability

To the maximum extent permitted by law, IndieAI Directory shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, data, or other intangible losses
  • Damages resulting from your use of third-party AI tools
  • Damages resulting from unauthorized access to your data
  • Any other damages arising from your use of the Service

Our total liability for claims relating to paid purchases is limited to the amount you paid us for the affected product in the 12 months before the claim.

Indemnification

You agree to defend, indemnify, and hold harmless IndieAI Directory and its affiliates from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you submit for listing

Changes to Terms

We reserve the right to modify or replace these Terms at any time. Material changes will be posted on this page at least 14 days before they take effect, and the “Last updated” date will be revised.

Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree, stop using the Service and, if applicable, cancel any subscription before the next renewal.

Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Before filing a formal proceeding, please email [email protected] and attempt an informal resolution.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
